OpsBridge Advisory Service Terms Addendum

These OpsBridge Advisory Service Terms (“OpsBridge Terms”) apply to advisory, consultation, operational review, digital adoption, workflow alignment, user coaching, system usage review, process improvement, and related services provided by Neu Media Technology LLP / Neu Media Technology SG Pte. Ltd. (“NMT”) to the client identified in the applicable quotation, proposal, statement of work, invoice, acceptance form, renewal document, or other project document (“Client”).
These OpsBridge Terms are to be read together with NMT’s prevailing Standard Terms and Conditions, unless expressly varied in writing by NMT.
In the event of inconsistency between these OpsBridge Terms and a signed quotation, proposal, statement of work, acceptance form, or other project document issued or accepted by NMT, the signed or accepted project document shall prevail to the extent of that inconsistency.
1. Purpose of OpsBridge Advisory
OpsBridge Advisory is a consultative service designed to help the Client bridge the gap between its business operations and the digital systems it uses.
The service may involve reviewing the Client’s operational workflows, user adoption, digital system usage, reporting practices, data discipline, process gaps, internal roles, and management visibility requirements.
OpsBridge Advisory is intended to support better digital adoption and operational alignment. It is not a guarantee of business performance, software performance, operational outcome, regulatory compliance, user compliance, or commercial result.
2. Nature of Services
Unless otherwise stated in the applicable Project Document, OpsBridge Advisory may include one or more of the following:
- Review of current system usage and adoption challenges.
- Review of existing operational workflows and process gaps.
- Key user interviews, workshops, or consultation sessions.
- User coaching and guidance on practical system usage.
- Identification of operational bottlenecks, workarounds, duplicated effort, or process inefficiencies.
- Advisory recommendations on process improvement, workflow alignment, user accountability, and management visibility.
- Preparation of findings, notes, roadmap, action list, or advisory report.
- Management review sessions or strategic discussion sessions.
- Advisory support for digital systems including ERP, CRM, accounting systems, inventory systems, workflow platforms, reporting tools, AI-enabled tools, or other business software ecosystems.
The exact services, deliverables, fees, timelines, and engagement structure shall be as stated in the applicable quotation, proposal, statement of work, invoice, or other Project Document.
3. Advisory Role Only
The Client acknowledges that OpsBridge Advisory is an advisory and consultative service.
Unless expressly agreed in writing, NMT is not responsible for:
- Managing the Client’s business operations.
- Performing the Client’s day-to-day administrative or operational work.
- Making business decisions on behalf of the Client.
- Enforcing internal discipline, staff compliance, or management decisions.
- Acting as the Client’s internal operations manager, project owner, department head, data controller, auditor, compliance officer, accountant, lawyer, HR adviser, or financial adviser.
- Guaranteeing that the Client’s staff will adopt, follow, or sustain the recommended practices.
- Guaranteeing that the Client’s systems, data, workflows, reports, or business outcomes will improve by a specific amount.
NMT may provide recommendations, observations, and practical guidance, but the Client remains responsible for deciding whether to accept, reject, implement, enforce, or modify any recommendation.
4. Scope Boundaries
OpsBridge Advisory is separate from standard software implementation, technical support, functional support, maintenance, hosting, development, data migration, customisation, and managed services.
Unless expressly included in the applicable Project Document, the following are excluded from OpsBridge Advisory:
- Custom software development.
- Custom module development.
- API integration or third-party system integration.
- Major system reconfiguration.
- Data migration, data cleansing, data correction, or mass data import.
- Custom report development.
- New module implementation.
- Technical troubleshooting, bug fixing, server maintenance, hosting support, or cybersecurity remediation.
- Formal documentation of full standard operating procedures unless specifically scoped.
- Regulatory, tax, accounting, legal, audit, or compliance advice.
- Penetration testing, security audits, compliance certification, or formal control review.
- Acting as project manager for third-party vendors unless expressly agreed.
- Training large user groups beyond the agreed session scope.
- On-demand support outside scheduled advisory sessions unless expressly included.
- Any work not expressly stated as included in the Project Document.
Any excluded item requested by the Client may be separately assessed and quoted by NMT.
5. Engagement Options
OpsBridge Advisory may be provided under one or more of the following engagement models, as stated in the applicable Project Document.
5.1 Diagnostic and Stabilisation Sprint
A short fixed-scope engagement intended to identify adoption issues, operational gaps, workflow misalignment, and recommended next steps.
Typical activities may include:
- Review of current digital system usage.
- User or management discussions.
- Operational workflow review.
- Identification of adoption gaps.
- Prioritised recommendations.
- Management review session.
5.2 Monthly Advisory Retainer
A recurring advisory arrangement providing scheduled access to NMT for consultation, workflow review, user coaching, and adoption guidance.
Unless otherwise stated, advisory retainer time must be scheduled in advance and is not an instant-response support arrangement.
5.3 Operational Optimisation Programme
A structured programme over a defined period to support adoption, workflow alignment, management review, user coaching, and operational improvement.
5.4 Onsite Advisory
Onsite advisory may be provided where agreed.
Onsite advisory may include observation, user coaching, workshop facilitation, workflow review, or management consultation.
Onsite work is subject to consultant availability, scheduling, location, minimum engagement blocks, and any applicable travel or logistics charges.
6. Advisory Time, Scheduling, and Consumption
Unless otherwise stated in writing:
- Advisory time is chargeable based on the rates, blocks, days, or retainer package stated in the Project Document.
- A consultant-day refers to up to eight (8) working hours within NMT’s standard office hours, excluding breaks, travel time, and after-hours support unless otherwise agreed.
- A half-day refers to up to four (4) working hours within NMT’s standard office hours.
- Advisory sessions must be scheduled in advance and are subject to consultant availability.
- Preparation, review of materials, meeting time, follow-up notes, internal review, and advisory report preparation may be counted as chargeable advisory time.
- Time spent reviewing Client documents, system screenshots, recordings, workflow samples, reports, data samples, or third-party materials may be chargeable.
- Cancellations or postponements made less than two (2) Working Days before a scheduled session may be chargeable, unless waived by NMT.
- If the Client’s delay, non-attendance, lack of preparation, or failure to provide required materials reduces the usefulness of a session, the scheduled time may still be chargeable.
7. Retainer-Specific Terms
Where OpsBridge Advisory is provided on a monthly retainer basis, unless otherwise stated in the Project Document:
- The retainer shall be for the minimum term stated in the Project Document.
- Retainer fees are payable in advance.
- Unused advisory time shall expire at the end of each monthly period and shall not be refundable.
- NMT may, at its discretion, allow unused time to be carried forward for a limited period if expressly agreed in writing.
- Retainer time cannot be converted into technical support, development, hosting, maintenance, software licence fees, third-party costs, or other services unless expressly approved by NMT in writing.
- Any usage beyond the subscribed retainer allocation shall be separately chargeable at NMT’s prevailing rates or the rates stated in the Project Document.
- Retainer services are intended for advisory and consultation, not unlimited support or operational outsourcing.
8. Client Responsibilities
The Client shall:
- Appoint an authorised representative and internal process owner for the engagement.
- Ensure relevant management, users, and stakeholders attend scheduled sessions.
- Provide accurate, complete, and timely information reasonably required by NMT.
- Provide access to relevant systems, documents, reports, screenshots, sample data, policies, workflows, and personnel where required.
- Provide clear decisions, approvals, feedback, and priorities within a reasonable time.
- Ensure that any information given to NMT is accurate, complete, and not misleading.
- Be responsible for all internal business decisions arising from the engagement.
- Be responsible for implementing, communicating, and enforcing any accepted recommendations internally.
- Ensure that it has the right to share any data, personal data, confidential information, system access, or third-party materials with NMT.
- Ensure that its users comply with internal policies, access controls, data handling practices, and operational instructions.
NMT shall not be responsible for any delay, rework, inefficiency, misalignment, or unsuccessful outcome caused by inaccurate information, incomplete participation, unclear instructions, internal disagreement, management indecision, user resistance, or Client-caused delay.
9. Deliverables and Recommendations
Deliverables shall be limited to those expressly stated in the applicable Project Document.
Deliverables may include meeting notes, findings summaries, advisory reports, process observations, workflow recommendations, adoption roadmaps, issue lists, action plans, or quick reference materials.
Unless expressly stated otherwise:
- Any recommendation provided by NMT is advisory in nature.
- The Client is responsible for validating whether recommendations are suitable for its business, regulatory obligations, internal policies, and operational constraints.
- NMT does not warrant that any recommendation will produce a specific commercial, operational, financial, compliance, or productivity result.
- Draft notes, working documents, discussion materials, and informal comments are not final deliverables unless expressly identified as such.
- NMT may rely on information provided by the Client without independently verifying its accuracy.
10. Review and Acceptance
Where NMT provides a report, roadmap, recommendation document, meeting note, or other deliverable for review, the Client shall provide consolidated written feedback within fourteen (14) Working Days, unless otherwise stated in the Project Document.
If the Client does not provide consolidated feedback within the review period, the deliverable shall be deemed accepted for the purposes of project continuation, invoicing, and closure.
Any further revision requested after acceptance or deemed acceptance may be treated as additional work and separately chargeable.
11. Changes and Additional Work
Any request to add, remove, revise, expand, accelerate, or change the agreed services, deliverables, timeline, workshop scope, number of users, systems reviewed, departments involved, documentation depth, or reporting requirements shall be treated as a variation.
NMT is not required to perform any variation unless confirmed in writing.
A variation may result in additional fees, timeline adjustment, rescheduling, or revised deliverables.
If the Client requests urgent additional work before a formal variation is agreed, NMT may proceed based on written instruction and charge such work on a time-and-materials basis at NMT’s prevailing rates.
12. Fees and Payment
The Client shall pay the fees stated in the applicable Project Document.
Unless otherwise stated in writing:
- Fixed-fee advisory engagements are payable in full upfront before commencement.
- Monthly retainers are payable monthly in advance.
- Additional advisory days, half-days, onsite sessions, workshops, or out-of-scope work are separately chargeable.
- Fees are exclusive of GST, taxes, duties, travel, accommodation, third-party charges, bank charges, payment gateway fees, and other external costs unless expressly stated otherwise.
- Invoices are due within fourteen (14) days from invoice date.
- NMT may suspend advisory services, scheduled sessions, deliverables, or further work if any invoice is overdue.
- Fees paid are non-refundable once the relevant services have commenced, resources have been reserved, or the engagement has been confirmed, unless expressly agreed otherwise in writing or required by law.
13. Third-Party Systems and Platforms
OpsBridge Advisory may involve review of or discussion about third-party systems, platforms, software, apps, integrations, APIs, hosting environments, reporting tools, AI tools, accounting systems, ERP systems, CRM systems, inventory systems, workflow platforms, or other digital ecosystems.
The Client acknowledges that NMT does not control third-party systems unless expressly stated otherwise.
NMT shall not be responsible for:
- The performance, availability, pricing, licensing, security, roadmap, support, or limitations of third-party systems.
- Changes made by third-party vendors.
- Errors, outages, limitations, or restrictions in third-party software.
- The Client’s contractual relationship with third-party vendors.
- Any decision by a third-party vendor to discontinue, restrict, modify, or charge for a product, feature, API, or service.
Any technical work required to configure, integrate, troubleshoot, migrate, or modify third-party systems shall be separately scoped and quoted unless expressly included.
14. System Access and Client Data
The Client may provide NMT with access to systems, reports, records, screenshots, documents, data samples, or other materials for advisory purposes.
The Client remains the owner of its business data.
The Client grants NMT the limited right to access, use, review, process, copy, store, and discuss Client-provided materials only to the extent reasonably necessary to provide the advisory services, comply with applicable law, maintain records, and enforce NMT’s rights.
The Client is responsible for ensuring that any personal data, confidential information, third-party data, or regulated information provided to NMT may lawfully be shared with NMT for the purpose of the engagement.
Unless expressly agreed, NMT is not responsible for data cleansing, validation, reconciliation, correction, migration, or audit.
15. Personal Data
To the extent that Client-provided materials include personal data, each party shall comply with the data protection laws applicable to it in connection with the services.
The Client remains responsible for:
- Ensuring that it has the right to provide such personal data to NMT.
- Providing all notices and obtaining all consents or legal bases required for NMT to provide the services.
- Ensuring that the personal data shared is relevant and reasonably necessary for the advisory engagement.
- Ensuring that user access, permissions, internal data handling, and internal data-sharing practices are properly managed by the Client.
Where NMT processes personal data on behalf of the Client, NMT shall do so only to the extent reasonably necessary for service delivery, advisory review, support, documentation, security, record keeping, or related operational purposes connected with the engagement.
16. Confidentiality
NMT shall treat Client information disclosed in connection with OpsBridge Advisory as confidential and shall use reasonable care to protect such information from unauthorised disclosure.
NMT may disclose such information to its employees, affiliates, subcontractors, consultants, advisers, or service providers who need to know the information for the purpose of providing the services, provided that such persons are subject to appropriate confidentiality obligations.
Confidentiality obligations shall not apply to information which:
- Is or becomes publicly available other than through breach.
- Was lawfully known before disclosure.
- Is lawfully received from a third party without breach of confidence.
- Is independently developed without reference to the confidential information.
- Is required to be disclosed by law, regulation, court order, or lawful authority.
17. Intellectual Property
Unless expressly agreed otherwise in writing:
- NMT retains ownership of all methodologies, frameworks, know-how, templates, tools, checklists, advisory structures, report formats, training approaches, diagnostic methods, process review methods, and reusable materials used or developed in connection with OpsBridge Advisory.
- No intellectual property rights are transferred to the Client by implication.
- Subject to full payment, the Client may use the final deliverables provided under the engagement for its own internal business purposes.
- The Client shall not resell, publish, license, distribute, commercialise, or provide NMT’s methodologies, templates, tools, frameworks, or deliverables to third parties without NMT’s prior written consent.
- Client-provided materials, data, internal policies, internal process documents, and proprietary business information remain the property of the Client.
18. No Professional, Legal, Financial, Tax, Audit, or Regulatory Advice
OpsBridge Advisory is business, operational, and digital adoption advisory.
Unless expressly agreed in writing, NMT does not provide legal, tax, accounting, audit, financial, investment, employment, regulatory, cybersecurity certification, or compliance certification advice.
The Client should seek advice from its own professional advisers where required.
Any comments by NMT relating to compliance, reporting, finance, operational controls, governance, cybersecurity, or regulatory matters are general operational observations only and should not be relied upon as professional advice.
19. No Guarantee of Outcome
The Client acknowledges that digital adoption and operational improvement depend on factors outside NMT’s control, including management commitment, user participation, data quality, internal discipline, process ownership, third-party software limitations, business priorities, and the Client’s implementation of recommendations.
NMT does not guarantee:
- Specific productivity gains.
- Cost savings.
- Revenue growth.
- User adoption levels.
- System usage levels.
- Error reduction.
- Audit or compliance outcomes.
- Management reporting accuracy.
- Business continuity.
- Successful implementation of recommendations by the Client.
NMT’s obligation is to provide the agreed services with reasonable skill and care.
20. Limitation of Liability
To the maximum extent permitted by law, NMT shall not be liable for any indirect, incidental, consequential, special, exemplary, or punitive loss or damage, or for any loss of profits, revenue, business, goodwill, anticipated savings, business opportunity, contracts, production, use, or data.
To the maximum extent permitted by law, NMT’s total aggregate liability arising from or in connection with OpsBridge Advisory shall not exceed the total fees actually paid by the Client to NMT for the specific OpsBridge Advisory services giving rise to the claim.
Where the claim relates only to a specific advisory phase, retainer month, workshop, deliverable, or work scope, the liability cap shall be limited to the fees actually paid for that specific affected scope.
Nothing in these OpsBridge Terms shall exclude or limit liability that cannot lawfully be excluded or limited under applicable law.
21. Suspension and Termination
NMT may suspend or terminate OpsBridge Advisory services if:
- The Client fails to pay any invoice by the due date.
- The Client fails to provide required access, information, approvals, participation, or decisions.
- The Client’s delay or inaction prevents NMT from continuing the engagement in an orderly manner.
- The Client materially changes the scope without agreeing to the necessary fee or timeline adjustment.
- Continued performance would expose NMT to legal, operational, technical, security, reputational, or commercial risk.
- The Client breaches these OpsBridge Terms or NMT’s Standard Terms and Conditions.
Suspension or termination by NMT under this section shall not constitute a breach by NMT.
The Client shall remain liable for all fees incurred, work performed, resources reserved, third-party costs committed, and amounts payable up to the date of suspension or termination.
22. Force Majeure
NMT shall not be liable for any delay, interruption, failure, or inability to perform its obligations to the extent caused by events beyond its reasonable control, including acts of God, natural disasters, fire, flood, war, terrorism, civil unrest, labour dispute, epidemic, pandemic, governmental action, failure of utilities, internet or telecommunications disruption, data centre outage, cyber incident, third-party platform failure, or material change to any relevant third-party system or service.
Where such event materially affects the services, NMT shall be entitled to a reasonable extension of time and, where applicable, reasonable adjustment to the affected scope, schedule, or fees.
23. Relationship Between the Parties
NMT is an independent contractor.
Nothing in these OpsBridge Terms creates any employment, agency, partnership, fiduciary, joint venture, or management relationship between NMT and the Client.
NMT does not become part of the Client’s management, operations, finance, compliance, HR, audit, or IT governance function by providing OpsBridge Advisory.
24. Notices and Written Communications
Any notice, request, demand, approval, consent, instruction, or other communication under these OpsBridge Terms shall be in writing.
Operational communications, approvals, feedback, and day-to-day advisory instructions may be given by email or other agreed electronic means by the parties’ authorised representatives.
Formal notices relating to breach, suspension, termination, dispute, or legal claim shall be sent to the receiving party’s last notified email address or business address.
25. Governing Law and Dispute Resolution
These OpsBridge Terms and any non-contractual obligations arising out of or in connection with them shall be governed by and construed in accordance with the laws of Singapore.
Any dispute arising out of or in connection with these OpsBridge Terms shall be subject to the exclusive jurisdiction of the courts of Singapore, unless otherwise expressly agreed in writing by the parties.
